MiVojo Terms of Service

These Terms of Service (“Terms”) govern the purchase and use of the video promotion services provided under the MiVojo brand.

MiVojo is operated by NEFELI ENDOKIA KYRIAZI, trading as MiVojo, established at ATHENS, GREECE, with VAT/Registration Number  165624803000
 (“MiVojo”, “we”, “us”, “our”).

By placing an order, you (“Customer”, “you”, “your”) confirm that you have read and agree to these Terms.

If you are purchasing the Service primarily for purposes outside your trade, business, craft or profession, you may qualify as a consumer and benefit from mandatory consumer protection rights. Nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded.

1. About the Service

MiVojo provides managed promotional services for YouTube videos using paid advertising, primarily through Google Ads and YouTube advertising inventory.

Depending on the package selected, MiVojo may create, fund, configure, manage and optimise an advertising campaign promoting the YouTube video or videos submitted by the Customer.

MiVojo is an independent advertising service. MiVojo is not owned by, affiliated with, endorsed by or acting on behalf of Google LLC or YouTube. Google Ads, YouTube and related names and trademarks belong to their respective owners.

We do not require access to your YouTube password in order to provide our standard video promotion Service.

2. Eligibility

You may purchase the Service only if you:

  • are at least 18 years old and legally capable of entering into a binding contract;
  • are authorised to use the payment method submitted;
  • own the submitted video or have sufficient rights and permission to promote it;
  • have authority to purchase the Service on behalf of any company, organisation, creator or other third party for whom you are acting; and
  • use the Service for lawful purposes.

MiVojo may refuse or cancel an order where we reasonably believe that these requirements have not been met.

3. Customer Content and Permission to Advertise

You retain all ownership rights in your videos, channel, trademarks, artwork and other content submitted in connection with an order (“Customer Content”).

For the limited purpose of providing the Service, you grant MiVojo a non-exclusive, worldwide, royalty-free license for the duration of the relevant campaign to access, use, reproduce and display the Customer Content as reasonably necessary to create and operate the advertising campaign.

This may include use of the submitted YouTube video, video title, thumbnail, channel name, video URL and other publicly available information connected with the video.

You represent that you have all rights and permissions necessary to grant this license.

This license does not give MiVojo ownership of your content and does not permit MiVojo to use your identifiable content for unrelated advertising or case studies except as provided in Section 17.

4. Content and Advertising Eligibility

The Customer is responsible for ensuring that submitted content complies with applicable laws and the policies and requirements of YouTube and Google Ads.

A video may be rejected, restricted or become ineligible for advertising because of its content, subject matter, copyright status, geographic availability, age restrictions, landing destination or other platform requirements.

Google and YouTube make their own advertising and policy decisions. MiVojo does not control and cannot override those decisions.

If a submitted video is rejected, we may ask you to provide an alternative eligible video or make reasonable changes required for advertising approval.

5. Orders and Contract Formation

The details displayed when you place an order, including the selected package, quantity, targeting options where applicable and total price, form part of the contract between you and MiVojo.

An order is considered accepted when MiVojo sends an order confirmation or begins performing the Service, whichever occurs first.

MiVojo reserves the right to reject an order before campaign performance begins where:

  • payment cannot be verified;
  • fraud or unauthorised payment is reasonably suspected;
  • the submitted content is not eligible for advertising;
  • information required to perform the Service is missing or inaccurate;
  • fulfilling the order would breach applicable law or third-party platform rules; or
  • a technical or platform limitation makes fulfillment impracticable.

If MiVojo rejects an order before any Service has been performed, the amount paid will be refunded, subject to any rights or obligations imposed by applicable law.

6. View Packages and Measurement

Where a MiVojo package specifies a number of views, that number constitutes the Purchased View Target for that order.

Unless expressly stated otherwise on the relevant product page, the Purchased View Target is measured using the “YouTube public views” metric reported through Google Ads for the relevant advertising campaign. YouTube public views are views generated through YouTube advertising that contribute to the publicly visible view count of the promoted video.

YouTube public views are different from the video’s total public view count, which may also include organic views and views generated independently of MiVojo’s campaign. MiVojo does not count unrelated organic views as advertising views delivered under the Service.

Google Ads reporting, YouTube Analytics and the publicly displayed YouTube view count may update at different times and may show temporary discrepancies. Google and YouTube may also independently validate or adjust view data.

If, after a reasonable reporting reconciliation period, the Purchased View Target has not been delivered according to the applicable YouTube public views campaign data, MiVojo will either continue or supplement the campaign or refund the corresponding undelivered portion.

Any mandatory consumer rights remain unaffected.

7. Targeted Promotion

Where a package includes geographic targeting, MiVojo will configure the Customer’s selected locations using the geographic targeting options available through Google Ads.

Google determines user location using multiple signals, including device, network and behavioural signals, and Google states that geographic targeting cannot be guaranteed to be 100% accurate in every situation. MiVojo therefore does not guarantee absolute geographic accuracy beyond the reasonable operation of the targeting tools provided by the advertising platform.

MiVojo does not guarantee demographic, behavioural or audience characteristics that are not expressly included in the purchased package.

8. Delivery Times

Any delivery or completion period displayed on the website is an estimated timeframe unless expressly identified as guaranteed.

Campaign start or completion may be delayed by:

Google or YouTube advertising review; changes requested by the Customer; targeting availability; payment verification; platform outages; technical problems; policy changes; or circumstances outside MiVojo’s reasonable control.

MiVojo will use reasonable efforts to complete an accepted campaign within the estimated timeframe and will communicate material delays where reasonably practicable.

Where a delay makes completion impossible or unreasonably prolonged, the remedies described in Section 12 will apply.

9. What MiVojo Does Not Guarantee

Except for the Purchased View Target expressly included in the Customer’s selected package, MiVojo does not guarantee any particular commercial, algorithmic or engagement outcome.

In particular, MiVojo does not guarantee subscribers, likes, comments, shares, sales, leads, conversions, audience retention, organic reach, search rankings, recommendation by YouTube’s algorithm, viral performance, advertising revenue or monetisation.

Paid advertising performance depends on numerous factors outside MiVojo’s control, including the content itself, audience response, advertising inventory, competition and changes made by Google or YouTube.

MiVojo does not represent that purchasing the Service will qualify a channel for the YouTube Partner Program or satisfy YouTube monetisation requirements. Eligibility for monetisation is determined solely by YouTube under its then-current policies.

10. Prices and Payment

The total price displayed at checkout is the total amount payable to MiVojo for the selected Service, inclusive of applicable taxes where required by law. Where any tax cannot reasonably be calculated in advance, the basis on which it will be calculated will be disclosed before the Customer places the order.

Any currency conversion, international transaction or other fee independently imposed by the Customer’s bank or payment provider is not charged by MiVojo and is outside MiVojo’s control.

Payments may be processed by independent payment service providers, including PayPal, Revolut or other providers offered at checkout.

By submitting a payment, you confirm that:

you are authorised to use the payment method; the billing information supplied is accurate; and the transaction is not fraudulent or unauthorised.

11. Payment Disputes, Chargebacks and Fraud

If you believe there is a problem with your order or Service, please contact MiVojo at info@mivojo.com so that we can investigate and attempt to resolve the matter promptly.

Nothing in these Terms excludes or restricts any lawful right you may have to contact your bank, card issuer or payment provider or to initiate a legitimate payment dispute.

If a payment dispute or chargeback is initiated, MiVojo may provide relevant information and evidence to its payment provider, acquiring bank, card network, issuing bank or other entity involved in resolving the dispute.

Such evidence may include order information, payment and authentication records, Customer communications, submitted video details, campaign records, Google Ads reports, delivery information and other evidence reasonably necessary to demonstrate whether the Service was ordered and performed.

Where a payment is disputed while the related campaign remains active, MiVojo may pause further campaign performance and advertising expenditure while the dispute is being investigated.

MiVojo reserves the right to contest any payment dispute or chargeback where it reasonably believes that the Service was validly authorised and provided.

Personal information used in connection with a payment dispute will be processed in accordance with applicable data protection law and MiVojo’s Privacy Policy.

12. Cancellations and Refunds

12.1 Before Performance Begins

If MiVojo is unable to provide an accepted Service and no performance has begun, the amount paid for the affected Service will be refunded.

Customers wishing to cancel an order should contact info@mivojo.com as soon as possible.

Any mandatory statutory withdrawal rights available to consumers remain unaffected.

12.2 After Performance Has Begun

Once performance has begun, any refund or amount payable for Services already provided will be calculated by reference to the proportion of the Service actually performed, subject to these Terms and applicable law.

Where an EU/EEA consumer exercises a statutory right of withdrawal after expressly requesting that performance begin during the withdrawal period, any proportionate amount payable will be calculated in accordance with applicable consumer law by reference to the agreed total contract price and the Service provided up to the time of withdrawal.

MiVojo will not retain payment for any portion of the Service that it has not provided or otherwise become entitled to charge for under applicable law.

12.3 Incomplete Campaigns

If MiVojo is unable to complete an accepted campaign, MiVojo may, as appropriate, continue or supplement delivery, offer an agreed alternative, or refund the value of the undelivered portion.

12.4 Advertising Rejection

If Google Ads or YouTube rejects or restricts the submitted video, MiVojo may request an alternative eligible video.

If no material performance or advertising expenditure has occurred and MiVojo cannot provide the Service, the relevant payment will be refunded.

If part of the Service has already been provided, any applicable refund will relate to the undelivered portion, subject to mandatory consumer law.

12.5 Customer-Caused Interruption

MiVojo is not responsible for failure to complete a campaign where the Customer deletes or restricts the submitted video, provides an incorrect URL, materially alters the content in a manner that prevents advertising, loses the necessary rights to the content, or otherwise makes performance impossible.

Amounts corresponding to Services already provided are not refundable except where required by applicable law. Any remaining undelivered portion will be handled in accordance with these Terms and applicable consumer law.

12.6 Refund Method

Approved refunds will normally be made to the original payment method. Promotional credits, complimentary services and bonus views have no cash value.

13. EU/EEA Consumer Right of Withdrawal

If you are a consumer entitled to a statutory right of withdrawal under applicable EU consumer law, you generally have 14 days from the conclusion of the service contract to withdraw without giving a reason.

If you expressly request MiVojo to begin providing the Service before the expiry of that withdrawal period and subsequently exercise your right of withdrawal after performance has begun, you may be required to pay an amount proportionate to the Service provided up to the time you informed MiVojo of your withdrawal.

Where the Service has been fully performed during the withdrawal period, you may lose your right of withdrawal if performance began with your prior express consent and your acknowledgement that the right of withdrawal would be lost once the Service had been fully performed.

To exercise an applicable right of withdrawal, you must inform MiVojo by an unequivocal statement, including by email to info@mivojo.com. You may use the Model Withdrawal Form provided below, but this is not mandatory.

Where a reimbursement is due following a valid exercise of the statutory right of withdrawal, it will be made in accordance with the time limits and requirements of applicable law.

Nothing in this Section limits any mandatory consumer rights.

14. Customer Responsibilities

You agree to provide accurate information reasonably required to perform the Service.

You must not use MiVojo to promote content that:

violates applicable law; infringes intellectual property or other third-party rights; is submitted without appropriate authorisation; contains unlawful or fraudulent material; or is prohibited from advertising under applicable Google or YouTube policies.

You must promptly notify MiVojo if circumstances affecting the submitted video materially change during an active campaign.

15. Third-Party Platforms and Changes

MiVojo relies on independent third-party platforms, principally Google Ads and YouTube, to provide the Service.

These platforms may change:

their advertising policies; review processes; advertising formats; view definitions; reporting systems; targeting options; prices; eligibility requirements; algorithms; or availability.

MiVojo is not responsible for independent decisions or changes made by Google, YouTube or other third-party services that are outside MiVojo’s reasonable control.

Where such a change prevents MiVojo from completing a paid order, MiVojo will take reasonable steps to provide an alternative method of performance or an appropriate refund for the undelivered portion, subject to applicable law.

16. Intellectual Property

The MiVojo website, branding, design, text, software, graphics and original materials are owned by or licensed to MiVojo and are protected by applicable intellectual property laws.

Except as permitted by law, you may not copy, reproduce, distribute, sell, licence or commercially exploit MiVojo materials without prior written permission.

Nothing in these Terms transfers ownership of Customer Content to MiVojo.

17. Campaign Data, Testimonials and Marketing

MiVojo may use aggregated or anonymised campaign information for analytics, service improvement and marketing where that information does not reasonably identify a Customer, channel or individual.

MiVojo will not use a Customer’s identifiable name, channel name, video, campaign screenshot, private communication, testimonial or other identifiable Customer material for promotional purposes without the Customer’s permission.

Where a Customer voluntarily submits or expressly authorises a review or testimonial for publication, the Customer grants MiVojo a non-exclusive permission to reproduce and display that review or testimonial for MiVojo’s marketing purposes, subject to applicable law.

Nothing in this Section transfers ownership of Customer Content to MiVojo.

18. Privacy and Data Protection

MiVojo processes personal data in accordance with its Privacy Policy and applicable data protection law.

Personal data may also be processed by or shared with payment, advertising, hosting, analytics and technology service providers as described in MiVojo’s Privacy Policy and where permitted by applicable data protection law.

Please review the MiVojo Privacy Policy for further information regarding the types of personal information processed, purposes of processing, retention periods and your applicable rights.

19. Suspension and Termination

MiVojo may refuse, suspend or terminate an order where reasonably necessary because of:

fraud or suspected unauthorised payment; breach of these Terms; unlawful activity; infringement of third-party rights; abuse of MiVojo personnel or systems; advertising-policy violations; or circumstances making lawful performance impossible.

Where an order is terminated, the financial consequences will depend on the amount of Service already performed and the reason for termination.

MiVojo will not retain payment for Services that it has neither provided nor become entitled to charge for under applicable law.

Mandatory consumer rights remain unaffected.

20. Service Availability

We aim to keep MiVojo and its services available, but uninterrupted access to the website or third-party advertising platforms cannot be guaranteed.

Temporary interruption for maintenance, technical issues, security incidents or circumstances outside our reasonable control will not constitute a breach of these Terms where MiVojo acts reasonably to restore or continue the Service.

21. Limitation of Liability

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited.

Consumers

If you are a consumer, your mandatory statutory rights and remedies are not excluded or restricted by these Terms.

MiVojo is not responsible for losses that were not reasonably foreseeable when the contract was entered into or for business losses arising from a consumer purchase, to the extent permitted by law.

Business Customers

If you purchase the Service wholly or mainly for purposes relating to your trade, business, craft or profession, then, to the fullest extent permitted by law:

MiVojo will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity or loss of anticipated savings arising from the Service.

MiVojo’s aggregate liability arising from a particular order will not exceed the total amount paid to MiVojo for the order giving rise to the claim.

The limitations above do not apply to liability that cannot legally be limited or excluded.

22. Business Customer Indemnity

This Section applies only where you purchase the Service as a business and not as a consumer.

You agree to indemnify MiVojo against reasonable third-party claims, damages and costs arising directly from:

your infringement of another person’s intellectual property rights; your lack of authority to promote submitted Customer Content; unlawful Customer Content supplied by you; or your material breach of these Terms,

to the extent that the relevant claim was caused by your acts or omissions.

MiVojo will take reasonable steps to mitigate any recoverable loss.

We will make reasonable efforts to investigate complaints fairly and promptly.

24. Alternative Dispute Resolution

Customers are encouraged to contact MiVojo directly first so that complaints can be investigated and, where possible, resolved amicably.

Consumers may also have access to certified Alternative Dispute Resolution (“ADR”) entities. For consumer disputes involving a trader established in Greece, this may include the Hellenic Consumer Ombudsman (Synigoros tou Katanaloti) or another competent certified ADR entity.

Where applicable law requires MiVojo to provide information concerning a competent ADR entity, MiVojo will provide that information and will state whether it is required or willing to participate in the relevant procedure.

Nothing in this Section restricts any statutory consumer right.

25. Governing Law and Jurisdiction

These Terms and the contractual relationship between MiVojo and the Customer are governed by the laws of Greece.

Consumers: If you are a consumer, this choice of law does not deprive you of any mandatory consumer protection rights that apply to you under applicable law. Nothing in these Terms restricts any right of a consumer to bring proceedings before a court having jurisdiction under applicable law.

Business Customers: Where the Customer purchases the Service wholly or mainly for purposes relating to their trade, business, craft or profession, the courts of Athens, Greece shall have exclusive jurisdiction over disputes arising from these Terms, except where otherwise required by applicable law.

26. Changes to These Terms

MiVojo may update these Terms from time to time to reflect changes to the Service, law, security requirements or third-party platform requirements.

Unless a change is required by law to apply otherwise, updated Terms will apply to orders placed on or after their stated Effective Date.

An order placed before the Effective Date of an updated version of these Terms will remain governed by the version accepted at the time of that order, unless a change is required by applicable law or is expressly agreed between MiVojo and the Customer.

The current version and its Effective Date will be published on the MiVojo website.

27. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be ineffective only to the extent required by applicable law, without affecting the validity or enforceability of the remaining provisions.

 

28. No Waiver

If MiVojo does not immediately enforce a provision of these Terms, this does not mean that MiVojo waives the right to enforce that provision later.

29. Entire Agreement

These Terms, together with the information presented for the relevant Service at the time of purchase, the Privacy Policy and any other terms expressly incorporated at checkout, constitute the agreement between you and MiVojo concerning the relevant Service.

Nothing in this Section excludes liability for statements or representations where exclusion would be unlawful.
